There is no capital contribution affect connected with the iHUB program. This means investors receive additional profit units, or fractions of a profit unit, but not an increase in the "value" of their investment. Profit units provided will be from FHS Legacy Corporation’s profit units.
Example: Joe, who starts with a $50,000 capital account, will still have a $50,000 capital account, but will move from having one profit unit to having 1.05 profit units, while FHS will have its profit unit total reduced by 0.05 profit units. This scenario assumes Joe refers an investor who invests $50,000 via the iHUB.
The profit units being allocated to those who refer are coming from profit units already issued to FHS and will not dilute existing or current public investors.
You agree, as a referring party, to limit your activities to those permitted to “Finders.” You understand that you cannot attempt to "sell" to potential investors or seek to help Vergence close a sale. If you act beyond the scope of what a “Finder” may do, you risk becoming agents of Vergence and -- if not licensed as brokers/agents -- acting in an unlawful manner. The profit units provided by FHS Legacy Corporation to those who refer are classified as a “Finders Fee” and not as compensation for selling of Vergence or its securities.
